3. Service Engagement

3.1 Consultation and Proposal

Service engagements typically begin with a consultation to understand your requirements. Following this, we will provide a proposal outlining the scope of work, timeline, deliverables, and fees.

3.2 Service Agreement

A formal service agreement or statement of work will be executed before work begins. This agreement will detail:

• Scope of services and deliverables
• Project timeline and milestones
• Fees, payment terms, and expenses
• Responsibilities of both parties

4. Client Responsibilities

To ensure successful delivery of services, clients agree to:

• Provide Access: Grant necessary access to systems, data, and personnel
• Timely Cooperation: Respond promptly to requests for information or decisions
• Accurate Information: Provide complete and accurate information
• Resources: Allocate appropriate internal resources to support the engagement
• Payment: Make payments according to agreed terms

5. Fees and Payment

5.1 Fees

Service fees will be specified in the service agreement and may be structured as:

• Fixed project fee
• Time and materials (hourly or daily rates)
• Retainer arrangements
• Subscription-based services

5.2 Payment Terms

Unless otherwise specified in the service agreement:

• Invoices are payable within 30 days of receipt
• Late payments may incur interest charges
• Services may be suspended for overdue accounts
• All fees are exclusive of applicable taxes

5.3 Expenses

Reasonable out-of-pocket expenses incurred in connection with services (travel, accommodation, etc.) will be billed separately unless included in the project fee.

6. Confidentiality

Both parties agree to maintain confidentiality of proprietary and sensitive information disclosed during the engagement. We implement strict security measures to protect client data and will enter into separate Non-Disclosure Agreements (NDAs) when required.

7. Intellectual Property

7.1 Deliverables

Upon full payment, clients will own the specific deliverables created under the service agreement. However, FreebeeSecure retains ownership of:

• Pre-existing intellectual property and methodologies
• Tools, frameworks, and templates used in service delivery
• General knowledge and experience gained

7.2 License

Clients receive a non-exclusive, non-transferable license to use our methodologies and tools solely for their internal business purposes in connection with the services provided.

8. Warranties and Disclaimers

8.1 Professional Standards

We warrant that services will be performed in a professional manner consistent with industry standards. We will re-perform any services that do not meet these standards at no additional cost.

8.2 Limitations

We make no warranties regarding:

• The absolute security of any system (no system is 100% secure)
• Prevention of all security incidents or breaches
• Specific business outcomes or results
• Compliance with future regulatory changes

9. Limitation of Liability

To the maximum extent permitted by law:

• Our total liability for any claims arising from services shall not exceed the fees paid for the specific engagement
• We are not liable for indirect, consequential, or incidental damages
• We are not liable for damages resulting from client's failure to implement recommendations
• We are not liable for actions of third parties beyond our control

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

10. Termination

10.1 Termination for Convenience

Either party may terminate a service engagement with written notice as specified in the service agreement. Client will be responsible for payment for services performed up to the termination date.

10.2 Termination for Cause

Either party may terminate immediately if the other party:

• Materially breaches the agreement
• Becomes insolvent or bankrupt
• Engages in conduct that damages the other party's reputation

11. Indemnification

Client agrees to indemnify and hold FreebeeSecure harmless from claims arising from:

• Client's use of deliverables in a manner not authorized by the agreement
• Client's failure to implement critical security recommendations
• Inaccurate or incomplete information provided by client
• Client's violation of applicable laws or regulations

12.1 Acceptable Use

When using our website, you agree not to:

• Engage in any unlawful or fraudulent activity
• Transmit harmful code or malware
• Attempt to gain unauthorized access to our systems
• Interfere with the proper functioning of the website
• Violate intellectual property rights
